This Master Client Service Agreement ("Agreement") governs all services provided by Feedbackwrench Marketing, Web Design & Video ("Provider," "we," "us," or "our") to you, the client ("Client," "you," or "your").
HOW THIS AGREEMENT WORKS:
By clicking "Confirm," "I Agree," "Purchase," or any similar button, and then completing payment through our provided payment link, invoice, or checkout process, you are entering into a legally binding contract with Feedbackwrench. Your confirmation click and subsequent payment constitute your electronic signature and full acceptance of all terms in this Agreement. This is equivalent to a signed written contract under applicable law.

We operate digitally. There are no paper contracts to sign, mail, or store. Your payment confirmation and completion through our digital payment system is your binding agreement. You acknowledge that you have had the full opportunity to read, review, save, and print these terms before clicking to confirm and pay.

Collectively, all of the above people or businesses entering this Agreement will be referred to as the "Parties."
Client wishes to hire Provider to provide marketing, web design, video production, and related services as detailed in this Agreement. Provider has agreed to provide such services according to the terms of this Agreement.
Project Start Date: All projects officially commence with the Kickoff Meeting, not with payment. The Kickoff Meeting date marks the beginning of all project timelines and deliverable schedules. Payment secures your position in Provider's schedule and demonstrates commitment to the project, but work begins at the Kickoff Meeting.
Payment Schedule Options: Client may choose from the following payment options for services. The total investment amount varies by service selected (see Service-Specific Terms in Section 2):
Option 1: Pay in Full (Upfront Payment)
Option 2: 6-Month Payment Plan
Option 3: 12-Month Payment Plan
Option 4: 18-Month Payment Plan
Option 5: 24-Month Payment Plan
Late Payment: Any payment not received within 10 days of its due date will incur a late fee of $50 per payment. If payment is more than 30 days late, Provider reserves the right to suspend services, withhold deliverables, and/or take website offline until account is current.
Default on Payment Plan: If Client defaults on payment plan (misses two consecutive payments or three total payments), the full remaining balance becomes immediately due and payable. Provider may withhold all deliverables, take website offline, and/or terminate the Agreement while retaining all payments made to date.
During Payment Period: For all website services on payment plans, the website will remain hosted in Provider's Webflow account until the Total Cost is paid in full. During this period:
Upon Final Payment: Once the Total Cost is paid in full:
Early Payoff Option: Client may pay off the remaining balance at any time without penalty to take immediate ownership of the website.
Webflow Hosting: For website services, monthly hosting, CDN, and SSL fees are paid directly to Webflow by Client once site is transferred to Client's account (typically $29/month). During payment plans, Provider covers these fees until transfer.
Advertising Spend: For advertising services, all ad spend is paid directly by Client to the advertising platforms (Google Ads, Meta/Facebook Ads, etc.). Client provides payment method directly to these platforms. Ad spend is separate from and in addition to Provider's management fees. Recommended minimum ad spend varies by platform and campaign objectives and will be discussed during strategy sessions.
Domain Registration: If Client needs a new domain name, registration fees are paid directly to the domain registrar (typically $12-$20/year). Provider can assist with domain purchase but Client pays registrar directly.
Third-Party Software/Tools: Some services may require third-party software subscriptions (CRM, email marketing, scheduling tools, etc.). Client is responsible for these costs and will be informed of any required tools during the Kickoff Meeting.
Stock Assets: Provider includes stock photography and graphics in standard services. If Client requires premium stock assets, custom illustrations, or licensed content beyond standard inclusions, additional fees may apply and will be quoted separately.
Timeline Commencement: All delivery timelines begin at the Kickoff Meeting date, not the payment date.
Delivery Schedules: Specific delivery timelines are outlined in the Service-Specific Terms (Section 2) for each service. Provider will use commercially reasonable efforts to meet stated timelines.
Client Delays: Timelines assume timely Client cooperation including:
If Client causes delays exceeding 14 days cumulatively, Provider may extend delivery timelines accordingly. If Client delays exceed 60 days, Provider may pause the project and timelines resume when Client re-engages.
Completion Definition: Services are considered complete when Provider delivers the final version of all contracted deliverables according to the scope defined in the Service-Specific Terms. Minor revisions or adjustments outside the agreed scope may incur additional fees.
Included Revisions: Each service includes a specified number of revision rounds as detailed in Service-Specific Terms (Section 2). Revisions must be requested within 14 days of receiving deliverables.
Revision Definition: A revision round includes feedback on the deliverable as presented. Requests to completely restart, change strategic direction, or expand scope beyond original agreement are considered change orders, not revisions.
Additional Revisions: Revision rounds beyond those included in the service agreement will be billed at $150/hour.
Change Orders: Requests that expand project scope, add deliverables, or significantly alter the agreed strategy require a change order. Provider will provide a written quote for the additional work. Change orders must be approved in writing before work begins and may extend delivery timelines.
Client-Provided Content: If Client chooses to provide their own written content, photos, or other materials rather than having Provider create them, Client is responsible for ensuring materials meet quality standards and are delivered in usable formats. Provider is not responsible for delays caused by inadequate Client-provided materials.
Ownership Transfer Upon Full Payment: Upon receipt of full payment of the Total Cost, Provider grants ownership of all produced materials to Client, including:
Provider's Portfolio Rights: Client grants Provider permission to use all produced work in Provider's marketing materials, website portfolio, advertising, case studies, and promotional materials unless Client expressly requests in writing that particular portions of work be kept confidential. Provider will honor any request for work to be kept confidential.
Third-Party Assets: Some deliverables may include third-party assets (stock photos, music, fonts, graphics) licensed for Client's use. Client receives appropriate licenses for these assets but does not own the underlying copyright. Provider will identify any licensed assets and provide licensing documentation.
Pre-Existing Materials: Provider retains ownership of any pre-existing materials, templates, frameworks, processes, or methodologies used in providing services. Client receives a license to use the final deliverables but not the underlying systems, templates, or processes.
Work in Progress: Provider retains ownership of all materials, deliverables, and work in progress until full payment is received. Client may not use, publish, or distribute any deliverables until the Total Cost is paid in full.
Mutual Confidentiality: Both parties agree to keep confidential any proprietary or sensitive information shared during the course of this engagement, including but not limited to business strategies, financial information, customer data, trade secrets, and unpublished materials.
Exceptions: Confidentiality obligations do not apply to information that:
Survival: Confidentiality obligations survive termination of this Agreement for a period of three years.
Provider Warranties:
Client Warranties:
No Other Warranties: Except as expressly stated, Provider makes no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
Maximum Damages: Client agrees that the maximum amount of damages Client is entitled to recover in any claim relating to this Agreement or services provided is limited to the Total Cost actually paid to Provider for the specific service giving rise to the claim.
Excluded Damages: In no event will Provider be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if Provider has been advised of the possibility of such damages.
Results Not Guaranteed: Provider makes no guarantees regarding specific business results from services provided, including but not limited to:
Provider's obligation is to deliver the contracted services professionally, not to achieve specific business outcomes which depend on many factors outside Provider's control.
Loss of Product: In the event that any deliverable(s) are lost due to file corruption, equipment failure, or other causes, Provider shall refund Client a pro-rated portion of the Total Cost based on the percentage of contracted services that were completed/provided against the total services agreed to be completed/provided.
Client Indemnification: Client agrees to indemnify, defend, and hold harmless Provider and its affiliates, employees, agents, and independent contractors from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to:
Provider Indemnification: Provider agrees to indemnify, defend, and hold harmless Client from claims that Provider's work product infringes third-party intellectual property rights, provided that:
Client Cancellation After Kickoff Meeting: If Client cancels services after the Kickoff Meeting but before completion:
Client Cancellation Before Kickoff Meeting: If Client cancels before the Kickoff Meeting occurs:
Termination for Breach: Either party may terminate this Agreement if the other party materially breaches the Agreement and fails to cure the breach within 30 days of written notice.
Provider Termination Rights: Provider may terminate this Agreement and cease work immediately if:
Effect of Termination: Upon termination:
No Refunds for Subjective Dissatisfaction: Dissatisfaction with Provider's aesthetic judgment, artistic style, strategic recommendations, or creative decisions are not valid reasons for termination of this Agreement or request for refunds. Client acknowledges that marketing, design, and creative services involve subjective judgments and agrees that Provider has final say regarding these creative and strategic elements within the scope of the contracted services.
Excuse for Non-Performance: Neither party will be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to:
Notice and Remedies: The affected party will:
If a force majeure event continues for more than 60 days, either party may terminate the Agreement. Provider will refund any prepaid amounts for services not yet rendered, minus costs already incurred.
Client's Obligation: Client expressly agrees to provide Provider and Provider's staff with a safe, appropriate, and professional working environment. This includes:
Threatening or Inappropriate Behavior: In the event of circumstances deemed by Provider or Provider's staff to present a threat, implied threat, or unprofessional behavior including:
Provider reserves the right to:
Three-Strike Policy: For on-location project services (such as photography or video shoots), Provider may implement a three-strike policy:
Client Responsibility: If Provider suspends or terminates services due to Client's failure to provide appropriate professional environment or due to threatening/inappropriate behavior by Client or anyone under Client's control:
Good Faith Negotiation: Before initiating any formal dispute resolution, the parties agree to attempt to resolve any disputes through good faith negotiation. Either party may initiate negotiations by providing written notice to the other party describing the dispute.
Mediation: If negotiation does not resolve the dispute within 30 days, the parties agree to attempt mediation before resorting to litigation. The parties will mutually select a mediator and share mediation costs equally.
Arbitration: If mediation fails to resolve the dispute, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in Minnesota, and the decision of the arbitrator will be final and binding.
Litigation: Only if negotiation, mediation, and arbitration all fail may either party pursue litigation. Any litigation must be brought in the state or federal courts located in Minnesota.
Attorney's Fees: The prevailing party in any dispute resolution proceeding or litigation is entitled to recover reasonable attorney's fees and costs from the non-prevailing party.
Governing Law: This Agreement is governed by the laws of the State of Minnesota, without regard to its conflicts of law principles.
Entire Agreement: This Agreement constitutes the entire agreement between the parties relating to the services and supersedes all prior or contemporaneous oral or written agreements, proposals, or representations. Any prior agreements, proposals, or quotes are expressly superseded by this Agreement.
Amendment: This Agreement may only be amended by written agreement signed by both parties. Email confirmation from both parties constitutes a valid written amendment.
Severability: If any provision of this Agreement is found to be illegal or unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
Waiver: The failure of either party to enforce any provision of this Agreement does not waive that party's right to later enforce that provision or any other provision.
Assignment: Client may not assign this Agreement without Provider's prior written consent. Provider may assign this Agreement to any successor entity or in connection with any merger, acquisition, or sale of assets.
Independent Contractor: Provider is an independent contractor, not an employee of Client. Provider has sole control over how services are performed. Nothing in this Agreement creates a partnership, joint venture, or agency relationship.
Notice: All notices under this Agreement must be in writing and will be deemed effective when sent via:
Parties agree to keep their email addresses current and check email regularly.
Survival: The following provisions survive termination or expiration of this Agreement: Intellectual Property, Confidentiality, Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.
Headings: Section and subsection headings are for convenience only and do not affect the interpretation of this Agreement.
Counterparts: This Agreement may be executed in counterparts, each of which is deemed an original and all of which constitute one agreement. Electronic signatures are valid and binding.
The following Service-Specific Terms apply to each particular service category. When Client purchases a service, both the General Terms (Section 1) and the applicable Service-Specific Terms below govern that service.
Service Description: Three intensive sixty-minute strategy sessions conducted over a four to six week period where Provider guides Client through the StoryBrand Framework to clarify messaging, positioning, and customer communication.

Service Description: Three intensive sixty-minute sessions conducted over four to six weeks defining Client's mission statement, purpose statement, core values with behavioral definitions, and Hedgehog Concept.

Service Description: Update messaging and content on existing website without full rebuild.

The following packages bundle multiple services together at a combined investment. When Client purchases a package, all services within that package are governed by both Section 1 (General Terms) and the applicable Service-Specific Terms from Section 2.

Provider offers custom service combinations to meet Client's specific needs and budget. Custom combinations will be quoted separately and governed by this Master Agreement with specific services and pricing detailed in a separate Scope of Work document.

Payment Understanding: You understand the specific service purchased, the payment plan selected (upfront, 6-month, 12-month, 18-month, or 24-month), the total amount to be paid, the payment schedule, and any financing fees that apply to your selected payment plan.
Website Ownership: You understand that if you purchased website services on a payment plan, the website will remain in Provider's Webflow account until paid in full, and transfer to your account occurs only after full payment is received.
Project Start Date: You understand that your project officially begins at the Kickoff Meeting, not at the time of payment. All timelines and deliverable schedules start from the Kickoff Meeting date.
Timeline Cooperation: You understand that project timelines depend on your cooperation, timely provision of requested materials, and timely feedback as outlined in the Agreement.
Results Not Guaranteed: You understand that Provider guarantees delivery of professional services as described, but does not guarantee specific business results such as revenue, leads, website traffic, or return on investment.
Revision Limits: You understand the revision limits included in your specific service and that additional revisions beyond those included will be billed at $150/hour.
Third-Party Costs: You understand your responsibility for third-party costs including advertising spend (paid directly to Google, Meta, etc.), domain registration, Webflow hosting fees after site transfer, and any required software subscriptions.
Refund Policy: You understand the cancellation and refund terms outlined in Section 1.12, including that payments made after the Kickoff Meeting are non-refundable, and that dissatisfaction with creative or strategic decisions is not grounds for refund.
Governing Law and Dispute Resolution: You understand this Agreement is governed by Minnesota law and agree to the dispute resolution process outlined in Section 1.15.
Electronic Agreement: You acknowledge that your click to confirm purchase and your payment completion constitute your legally binding electronic signature to this Agreement, with the same legal effect as a handwritten signature on a paper contract.
